These Terms of Service (the “Terms”) govern your access to and use of the Compli website located at compli.io (the “Site”), including any content, functionality, and services made available through the Site (collectively, the “Services,” as used in these Terms).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

We may update these Terms from time to time. The “Last Updated” date reflects the most recent changes. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

4) Eligibility and permitted use

The Site is intended for individuals who are at least 18 years old and who are using the Site for business purposes (e.g., to learn about Compli offerings or to contact us).

You may use the Site only for lawful purposes and in accordance with these Terms.


5) No offer; quotes and engagements are governed by separate agreements

Information on the Site is provided for general informational purposes and does not constitute:

  • a binding offer,
  • a guarantee of pricing, availability, timelines, or outcomes, or
  • professional advice.

Any services we provide to customers (including implementation, coordination, or related deliverables) will be governed by a separate written agreement (e.g., a Master Services Agreement, Statement of Work, purchase order terms accepted by us, or similar). If there is a conflict between these Terms and a signed services agreement, the signed services agreement controls for that engagement.


6) Intellectual property

A. Our content

The Site and all content on it (including text, images, graphics, logos, icons, page layouts, and software) are owned by Compli or its licensors and are protected by intellectual property laws.

Subject to these Terms, Compli grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes.

B. Restrictions

You may not:

  • copy, reproduce, distribute, publicly display, or create derivative works from the Site or content (except as permitted by law),
  • remove proprietary notices,
  • reverse engineer or attempt to extract source code,
  • use the Site to build a competing product or service, or
  • use our trademarks without prior written consent.

7) User submissions and feedback

If you submit information through the Site (e.g., contact forms, emails, scheduling requests), you represent that the information is accurate and that you have the right to provide it.

If you provide suggestions, ideas, or feedback (“Feedback”), you grant Compli a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate such Feedback for any purpose, without compensation to you.

Do not submit confidential, sensitive, or regulated information through web forms unless we specifically request it and provide an appropriate secure method.


8) Acceptable use and prohibited conduct

You agree not to:

  • use the Site in any way that violates laws or regulations,
  • attempt to gain unauthorized access to systems or accounts,
  • interfere with the Site’s operation, security, or integrity,
  • transmit malware or harmful code,
  • scrape, harvest, or collect information (including emails) without permission,
  • send unsolicited promotional materials via Site forms, or
  • impersonate any person or misrepresent affiliation.

We may investigate and take action (including blocking access) if we believe the Site is being used in violation of these Terms.

The Site may include links to third-party websites or tools. Compli does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.


10) Disclaimers

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Compli does not warrant that:

  • the Site will be uninterrupted, error-free, or secure,
  • content will be accurate, complete, or up to date, or
  • any defects will be corrected.

11) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY ILLINOIS LAW, IN NO EVENT WILL COMPLI (OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF COMPLI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY ILLINOIS LAW, COMPLI’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED US $100 OR THE AMOUNT YOU PAID TO COMPLI FOR ACCESS TO THE SITE IN THE TW


12) Indemnification

You agree to indemnify, defend, and hold harmless Compli and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Site,
  • your violation of these Terms, or
  • your infringement or misappropriation of any intellectual property or other rights of any third party.

13) Suspension and termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Site, Compli, or others.

Sections that by their nature should survive termination will survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution/Governing Law).


14) Governing law and venue

These Terms are governed by the laws of the State of [State], without regard to conflict of law principles.

Unless the arbitration section below applies (if included), you agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in [County, State], and you consent to personal jurisdiction there.

15) Electronic communications

You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.


16) Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We are not responsible for delays or failures caused by events beyond our reasonable control.
  • Entire agreement: These Terms (and the Privacy Policy) form the entire agreement regarding your use of the Site, except as replaced or supplemented by a signed services agreement for customer engagements.
